Terms of Service

These terms govern your access to and use of Particles UI services, including our website, Particles Studio, API, CLI, and Figma plugin. By using the services, you agree to these terms. Effective date: May 21, 2026.

The service

Particles UI is a design token management platform. We provide tools to create, version, review, and export design tokens; connect to Figma; and sync tokens to codebases via our CLI. Features and availability may change as we develop the product. We strive for high availability but do not guarantee uninterrupted access.

Accounts & organizations

You must provide accurate registration information and keep your credentials secure. You are responsible for activity under your account. Organizations may have multiple members with roles (Designer, Developer, Admin); admins control membership and billing.

You must be at least 16 years old to use the services. If you use the services on behalf of a company, you represent that you have authority to bind that company to these terms.

Your content

You retain ownership of design tokens and other content you submit. You grant us a limited license to host, process, display, and transmit your content solely to operate and improve the services for you and your organization (including syncing to Figma and generating exports you request).

You are responsible for ensuring you have the rights to upload and share content and that it does not violate law or third-party rights.

Acceptable use

You agree not to:

Use the services unlawfully or to infringe others' rights; attempt unauthorized access to our systems or other accounts; interfere with or disrupt the services; reverse engineer the hosted service except where permitted by law; resell or sublicense the hosted service without permission; upload malware or abusive content; or circumvent plan limits or billing controls.

We may suspend or terminate access for conduct that risks harm to users, the platform, or third parties.

Subscriptions & billing

Paid plans are billed through Stripe on a subscription basis (per-seat where applicable). Prices and plan limits are described on our pricing page and in Studio. Trials and promotions may apply as stated at signup.

Subscriptions renew automatically until cancelled. You may cancel through the billing portal in Studio. Fees are generally non-refundable except where required by law or explicitly stated otherwise. We may change pricing with reasonable notice for future billing periods.

Open-source CLI

The @particlesui/cli package is open source and subject to its published license in addition to these terms when you use it with our hosted API or Studio. Use of hosted features still requires a valid account and compliance with these terms.

Third-party services

The services integrate with third parties including Figma, GitHub, Google, and Stripe. Your use of those products is governed by their terms. We are not responsible for third-party services or for data you choose to send outside Particles.

Our intellectual property

We own the Particles UI brand, website, Studio application, hosted API, Figma plugin (except your content), documentation, and underlying technology. These terms do not grant you rights to our trademarks or to copy our proprietary software except as allowed by applicable open-source licenses or written permission.

Disclaimer

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE OR THAT TOKEN OUTPUT IN FIGMA OR CODE WILL MEET EVERY DESIGN REQUIREMENT.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PARTICLES UI AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED US DOLLARS (USD $100).

Indemnity

You will defend and indemnify us against claims arising from your content, your misuse of the services, or your violation of these terms, except to the extent caused by our intentional misconduct or gross negligence.

Termination

You may stop using the services at any time. We may suspend or terminate your access for breach of these terms, non-payment, or to protect the service. Upon termination, your right to use the hosted service ends; we may delete data after a reasonable retention period as described in our Privacy Policy.

Changes

We may modify these terms. We will post updates on this page with a new effective date. Continued use after changes become effective constitutes acceptance. If you do not agree, you must stop using the services.

General

These terms are the entire agreement between you and us regarding the hosted services. If a provision is unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these terms without our consent; we may assign them in connection with a business transfer.
